1. Agreement to Terms

By accessing or using Graham ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service is provided by JEFFREY TECHNOLOGIES LTD (trading as Graham), a company registered in England and Wales (Company Number: 16947492).

2. Description of Service

Graham is a co-parenting coordination service that helps separated and divorced parents manage shared responsibilities for their children. The Service includes:

• Custody schedule management and coordination
• Shared expense tracking and settlement
• AI-assisted communication through WhatsApp
• Support payment reminders
• Family information management

3. Eligibility

To use Graham, you must:

• Be at least 18 years old
• Be a parent or legal guardian coordinating childcare with a co-parent
• Have the legal authority to agree to these Terms
• Provide accurate information when creating your account

Children cannot directly access or use the Service. Graham processes limited children's data (names and dates of birth) on behalf of parents for scheduling purposes only.

4. Account Registration

To use Graham, you must create an account by providing your mobile phone number. You are responsible for:

• Maintaining the confidentiality of your account
• All activities that occur under your account
• Notifying us immediately of any unauthorised access
• Ensuring your contact information is accurate and up to date

You may not share your account credentials or allow others to access your account.

5. Co-Parent Relationships

Graham facilitates coordination between co-parents. When you connect with a co-parent:

• Both parties will see shared custody schedules
• Both parties will see expenses submitted for sharing
• Both parties will see children's information
• Proposals (schedule changes, expenses) require approval from both parties

You are responsible for only inviting your actual co-parent to join your couple. Misuse of the invitation system may result in account termination.

6. Acceptable Use

You agree to use Graham only for lawful purposes. You must not:

• Use the Service to harass, abuse, or harm another person
• Submit false, misleading, or fraudulent information
• Attempt to manipulate records or deceive your co-parent
• Use the Service to violate any court order or legal agreement
• Upload malicious content, viruses, or harmful code
• Attempt to access systems or data you are not authorised to access
• Use automated tools to access the Service (except approved integrations)
• Reverse engineer or attempt to extract source code from the Service

We reserve the right to suspend or terminate accounts that violate these terms.

7. AI-Assisted Features

Graham uses artificial intelligence (AI) to provide certain features, including:

• Understanding your messages and requests
• Generating helpful responses and suggestions
• Detecting potential conflicts and offering mediation
• Processing voice messages (speech-to-text)
• Analysing receipt photos for expense tracking

8. Children's Data

Graham collects limited data about children (names and dates of birth) to enable custody scheduling and age-appropriate coordination.

• Children's data is controlled by both parents
• Either parent can view, update, or delete children's information
• Children's data is never shared with third parties for marketing
• Children's data is not used for AI training or profiling

9. Fees and Payment

Graham is currently offered as a free service. We may introduce paid features or subscription plans in the future.

If paid features are introduced:

• We will provide advance notice of any charges
• You will have the option to continue with free features or upgrade
• Payment terms will be clearly stated before any purchase
• Refund policies will be specified at the time of purchase

10. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by JEFFREY TECHNOLOGIES LTD and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit (messages, photos, documents). By using the Service, you grant us a limited licence to process this content solely for the purpose of providing the Service.

Graham integrates with third-party services:

• WhatsApp: Subject to WhatsApp's Terms of Service
• Supabase: Database hosting
• Anthropic & OpenAI: AI processing

Your use of these services is subject to their respective terms and privacy policies.

13. Limitation of Liability

To the maximum extent permitted by law, JEFFREY TECHNOLOGIES LTD shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of data, profits, or business opportunities
• Damages arising from disputes between co-parents
• Actions taken based on AI-generated suggestions
• Service interruptions or technical failures

Our total liability shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

14. Indemnification

You agree to indemnify and hold harmless JEFFREY TECHNOLOGIES LTD from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights
• Disputes between you and your co-parent

15. Account Termination

By You: You may delete your account at any time through the dashboard settings or by contacting us. Upon deletion, your personal data will be removed in accordance with our Privacy Notice.

By Us: We may suspend or terminate your account if you:

• Violate these Terms
• Engage in harmful or abusive behaviour
• Provide false or misleading information
• Use the Service for unlawful purposes

We will provide notice before termination where reasonably possible, except in cases of serious violations.

16. Dispute Resolution

If you have a complaint about the Service, please contact us at support@grahamapp.co.uk. We will try to resolve your complaint informally.

Mediation: If we cannot resolve a dispute informally, either party may propose mediation before taking legal action.

17. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, you may also have rights under the laws of your country of residence that cannot be excluded by contract.

18. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through:

• In-app notification
• WhatsApp message
• Email (if provided)

Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Service.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Notice and Cookie Policy, constitute the entire agreement between you and JEFFREY TECHNOLOGIES LTD regarding your use of the Service.
